By accessing or using SPV Flow ("the Service"), operated by SPV Flow ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

2. Description of Service

SPV Flow provides a platform for browsing, searching, and analyzing SEC Form D filings sourced from publicly available data on SEC EDGAR. The Service may include free and paid subscription tiers with varying feature access.

3. Not Financial or Legal Advice

The information provided through the Service is for informational and educational purposes only. It does not constitute financial advice, legal advice, investment advice, or any other form of professional advice. You should consult with qualified professionals before making any financial or investment decisions. We make no representations or warranties regarding the accuracy, completeness, or timeliness of the data displayed.

4. User Accounts

To access certain features you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and promptly update it if it changes. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription & Billing

Paid features are billed on a recurring monthly basis through our payment processor (Stripe). By subscribing, you authorize us to charge your payment method. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Refunds are handled on a case-by-case basis at our discretion.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Scrape, crawl, or bulk-download data from the Service in an automated fashion beyond normal use
• Attempt to gain unauthorized access to the Service or its systems
• Redistribute, resell, or sublicense data obtained from the Service without prior written consent
• Interfere with or disrupt the integrity or performance of the Service

7. Intellectual Property

The Service, including its design, code, and original content, is owned by SPV Flow and protected by applicable intellectual property laws. SEC filing data is sourced from the public domain via SEC EDGAR. You retain ownership of any data you upload or create through the Service.

8. Data Accuracy & Disclaimers

Data is sourced from SEC EDGAR and processed automatically. While we strive for accuracy, we do not guarantee that the data is error-free, complete, or current. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, SPV Flow and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or by email. Your continued use after changes constitutes acceptance of the updated Terms.
